Proposed SPW Bylaws Action during the April 2015 BOD at Hamilton Ranch necessitates changes to the SPW

Article I, Affiliation
The South Plains Woodturners (hereinafter called SPW) was established March 16, 2006, and was incorporated in the State of Texas on August 20, 2010. SPW is chartered by the American Association of Woodturners (hereinafter called AAW). SPW is affiliated with of the South West Association of Turners (Hereinafter called SWAT). SPW is represented on the SWAT Board of Directors (Hereinafter called SWATBOD).
Article II ---Purpose
SPW is a forum for individuals interested in woodturning. The primary purposes of SPW are consistent with the fundamental purposes of AAW, to provide Information, Education and Organization to those interested in turning wood. Through combining resources, knowledge and experience of our members, SPW shall promote both the craft and the art of woodturning on the Texas South Plains.
SPW will support these purposes:
- Provide a meeting place for woodturners.
- Share ideas regarding woodturning including lathes, tools, turning material, turning techniques and design of turned objects.
- Exchange wood and other woodturning material.
- Inform members about activities of interest to woodturning.
- Conduct Hands-on instruction sessions for members.
- Encourage public display of member’s wood turnings.
Article III ---Membership
Membership, although open equally to anyone interested in woodturning, regardless of his or her skill level or experience, is primarily drawn from and promoted to persons living on the South Plains of Texas. Any member is eligible to display turned pieces at any function open to SPW members.

- Emeritus Membership
- This membership may be awarded to individuals in the organization who have gone above and beyond the call of duty in service to SPW.
- The Board of Directors shall select the individuals to be awarded an emeritus membership.
- Membership dues for selected individuals shall be forgiven for the balance of their lives.
- Corporate Membership:
- A single person, either owner or designated employee, shall be considered the Corporate Member of SPW.
- Other employees of a corporate member may attend any SPW meetings and functions and display turned pieces at any function open to SPW members. Corporate members are asked to display SPW brochures and promotional material at their place of business. Corporate Members in good standing are eligible to vote in SPW elections at the same level as General Member, but each Corporate Member may have only one person designated to vote. A Corporate Member who is also a member of AAW may hold any elected or appointed office in SPW.
- Dues for SPW shall be due June 1 of each year.
- Members renewing late do not get pro-ration of dues.
- Dues, for new members only, are prorated by 1/12th for each month into the club year until March 31st.
- New members joining after March 31st are considered paid up through the new year beginning on June 1st.
- The BOD shall be responsible for reviewing the amount for dues each year and adjusting if deemed necessary.
- Dues for Corporate Members will be set by the BOD on an individual basis.
- Dues for General Membership and Affiliated Membership shall be equal.
Article V---Officers
Officers shall be elected each year at the May meeting for a one year term, with the exception of the BOD Member At Large who will be elected on alternate years for a two year term. The new officers shall take over their responsibilities at the June regular meeting. Any officer may be nominated to serve a second consecutive term of office at the pleasure of the Nominating Committee. All officers must be members of AAW. Each officer shall be guided in their duty by AAW best practices appropriate for the position.
- President:
- Supervision and control of all business and affairs of the Chapter, preside over Chapter meetings.
- Call or cause to be scheduled meetings of the BOD and meetings for all membership.
- Appoint committees with the approval of the BOD.
- Designate members to chair various committees.
- Appoint member to represent SPW at the SWATBOD. May designate any Affiliated Member, including President, as SWATBOD representative with the approval of the BOD.
- First Vice President:
- In the absence of the President, or in the event of the President's death, inability to serve or refusal to act, the First Vice President shall perform the duties of President. While so acting, the First Vice President shall have the same power, duties and responsibilities as the President and subject to all restrictions upon the President.
- Shall serve as Program Coordinator, and shall chair the Program Committee. As such the First Vice President shall be responsible for scheduling programs for general meetings and such other events as decided by the BOD. The First Vice President may appoint members to the Program Committee and delegate to them such activities as deemed appropriate.
- The First Vice President and the Second Vice President shall coordinate and be mutually responsible for all tools, machines and real property owned by SPW including, but not limited to, receipt, disposition, storage, maintenance and those other matters necessary to keep the property in proper condition.
- The First Vice President will chair the Audit Committee and shall keep the Treasurer informed as to what has been disposed of and currently owned and its condition for inventory and valuation purposes.
- In general the First Vice President will perform all duties incidental to the office of First Vice President and such other duties as may be designated by the President.
- Second Vice President:
- Will serve as Facilities Coordinator and assume the duties of President if President and First Vice President are unable or unwilling to perform.
- In general the Second Vice President will perform all duties incidental to the office of Second Vice President and such other duties as may be designated by the President.
- Secretary:
- Shall keep minutes of BOD meetings and of those portions of regular meetings during which official business is conducted and distribute same to all BOD members.
- Shall see that notices are duly given to members as required by the bylaws.
- Shall maintain the official records including, but not limited to, a current copy of the bylaws, any articles of Incorporation and all communications from any taxing authority and any other correspondence deemed worthy of archiving.
- Shall maintain the official membership roster and telephone and email list, which includes but is not limited to all members in good standing of all membership categories.
- Shall check the Post Office Box on a regular basis and shall notify the President in a timely manner of any mail needing attention or a response and not wait until next regular or board meeting.
- In general the Secretary will perform all duties incidental to the office of Secretary and such other duties as may be designated by the President.
- Treasurer:
- Shall collect all membership dues and all other monies that flow through the SPW and keep accurate records of same as well as all expenditures.
- Shall be responsible for maintaining current and accurate records of all monies and inventory of tangible assets.
- Shall file annual information returns consistent with IRS and State of Texas regulations, and shall retain copies of these returns and their supporting ledgers and make them available for public inspection for three years after the due date of the return.
- At the end of the three year period, said supporting ledgers may be destroyed but copies of the filings shall be retained for internal use and/or inspection by the IRS and the State of Texas for seven years.
- Supporting ledgers shall include all entries necessary to compile the information required for IRS and State of Texas filings, a copy of which shall be distributed to the Secretary for archival purposes.
- In general the Treasurer shall perform all the duties incident to the office of Treasurer and such other duties as may be assigned by the President.
- The Treasurer shall make a financial report to the membership as part of the President's “State of SPW” report prior to induction of new officers at the June regular meeting or as otherwise directed by the President.
- Immediate Past President:
- The Immediate Past President shall serve in an advisory capacity to the President and the other officers. In the event the President serves a second consecutive term of office, in which case, the Immediate Past President will also serve a second consecutive term.
- Shall chair the nominating committee and perform such other duties as requested by the President.
- Member at Large:
- The Member at Large shall serve on the Board and be guided by one’s duties by AAW best practices appropriate for the position
- Newsletter Editor:
- Shall publish a monthly newsletter and at other times as the President directs. Publication may be made digitally or in print format. Distribution shall include all members in good standing, the AAW offices and such others as the President directs. Distribution may be made to others who support SPW or the SPW newsletter.
- Shall submit expenses to Treasurer in a timely manner and report to the BOD as directed by President.
- Shall maintain distribution list for both US Mail and Email.
- Shall perform such other duties as requested by the President.
- Nominating Committee:
- The Immediate Past President will Chair the Nominating Committee.
- The President shall appoint two other persons to complete the Nominating Committee.
- Shall prepare a slate of candidates prior to the May election of officers. Nominating committee will present the slate of candidates to the membership. The President will call for nominations from the floor. A simple majority vote by paid-up members will elect.
- Audit Committee:
- The Audit Committee will be appointed by the President and Chaired by the First Vice President.
- The Audit Committee will review SPW’s financial transactions for the previous year and verify the inventory of SPW’s tangible assets.
- Public Relations Committee:
- The Public Relations Committee shall be appointed by the President.
- Shall be responsible for promoting and maintaining the public image of SPW.
- Shall arrange for public showings of members woodturnings and to advertise or negotiate coverage in local media.
- Shall promote SPW through public demonstrations.
- All Directors agree to be members in good standing in AAW.
- The BOD will meet on the First Tuesday after the regular meeting at 7:00 PM and at other times as directed by the President.
- The BOD shall be the governing body of the SPW.
- Shall set the amount of dues for membership.
- Shall oversee the work of all officers.
- Shall periodically review SPW procedures and practices in order to maintain and improve upon the enrichment derived from membership.
- BOD meetings are open to any member and they are encouraged to attend.
- The BOD shall consist of the following elected officers, and appointed Standing Committee Chairpersons. In the event that a Director becomes incapacitated and unable to perform the duties of the position, the President may appoint a replacement to complete the former Director’s term of service. The BOD shall make day to day decisions and determine policy for the operation of SPW subject to the review and approval of the SPW membership.

- Standing Committee Chairs are expected to attend board meetings on a regular basis to provide information about their committee's activities and to act in an advisory capacity to the BOD
AAW’s national office must be notified in writing prior to a Local Chapter incurring any indebtedness for AAW.
Article IX---AAW’S Disclaimers:
Fiscal and Legal
The corporation, AAW, Inc., specifically disassociates itself from any debt, obligations or encumbrances of the Local Chapter. The Corporate Board of Director's of AAW is not responsible for the debts nor shares in the profits of the SPW. The Corporate Organization does not shoulder any legal liability for accidents that occur during events of any kind sponsored or not sponsored by a Local Chapter. The SPW specifically disassociates itself from any debts, obligations or encumbrances of the AAW. The BODSPW is not responsible for the debt nor shares in the profits of AAW. SPW does not shoulder any legal liability for accidents that occur during events of any kind sponsored or not sponsored by the National Organization.
Article X---Insurance
As a Chapter of AAW, SPW will utilize insurance available through and required by AAW. All demonstrators from SPW must be Affiliated Members to be covered by insurance. Demonstrators that are not members of SPW must be members in good standing of AAW or covered for liability by an adequate insurance policy.
Article XI--- Quorum
A Quorum shall consist of a majority of Members present at a meeting or a majority of the Directors present at a scheduled BOD meeting.
Article XII---Dissolution of SPW
Upon dissolution of SPW, its assets and records will be distributed to one or more exempt purposes within the meaning of Section 501 (C)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Priority of distribution shall be first to local organizations, then in order to city, county, state or federal government. Priority shall be given to Lubbock Area Foundation or successors, and Texas Tech University Southwest collection. The Board of Directors in office at the time of dissolution will be responsible for the distribution of these assets and records.
Article XIII---Amendments
These Bylaws may be altered, amended, or repealed and new Bylaws may be adopted by a vote of a simple majority of the qualified voting members of South Plains Woodturners.
Adoption of these Bylaws
These Bylaws have been amended, agreed upon by the Board of Directors.
